EULA — SamuelWize Wallpapers

Important — read carefully. This End User License Agreement ("Agreement") is a legal agreement between you and SamuelWize ("SamuelWize", "we", "us", or "Licensor") for the SamuelWize Wallpapers software application, including all wallpaper packs, code, artwork, animation, music, audio, fonts (except third-party fonts under their own licenses), text, and related materials (together, the "Software"). By downloading, installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not download, install, or use the Software, and delete any copies in your possession.

1. Definitions

1.1 "Software" means the SamuelWize Wallpapers application and all of its contents, including all Packs and all updates.

1.2 "Pack" means a wallpaper pack made available through the Software, whether Free or Premium.

1.3 "Free Pack" means a Pack provided at no charge.

1.4 "Premium Pack" means a Pack that requires payment and is unlocked using a License Key.

1.5 "License Key" means the unique key issued to you after purchase that unlocks one or more Premium Packs.

1.6 "Reseller Platform" means our authorised payment and licensing provider (currently Lemon Squeezy), acting as merchant of record for purchases.

2. License Grant

2.1 Subject to your compliance with this Agreement, SamuelWize grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software and the Packs you are entitled to, on devices that you own or control, for your own personal, non-commercial use.

2.2 This is a license, not a sale. You acquire no ownership rights in the Software or any Pack. All rights not expressly granted to you are reserved by SamuelWize.

3. Premium Packs and License Keys

3.1 Premium Packs are unlocked using a License Key issued after a valid purchase through the Reseller Platform.

3.2 A License Key is issued to you for your own use only. Any device-activation limit shown at the time of purchase is the maximum number of devices on which the corresponding Premium Pack(s) may be activated.

3.3 You must not sell, share, publish, sublicense, transfer, or otherwise disclose your License Key to any other person. You are responsible for keeping your License Key confidential.

3.4 We may validate, suspend, or revoke License Keys that are shared, abused, obtained fraudulently, or used in breach of this Agreement.

4. Restrictions

You must NOT, and must not permit any third party to:

resell, rent, lease, lend, sublicense, distribute, redistribute, share, upload, host, mirror, or otherwise make available the Software or any Pack (in whole or in part) to any third party, whether for charge or free;
copy or reproduce the Software or any Pack except for a single backup copy for your own personal use;
share, publish, or distribute any License Key;
circumvent, disable, or interfere with any licensing, unlocking, security, or access-control mechanism in the Software;
reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, assets, or algorithms of the Software, except to the limited extent this restriction is prohibited by applicable law;
modify, adapt, translate, or create derivative works from the Software or any Pack, or extract, isolate, or reuse its code, artwork, animation, music, audio, or other assets in any other product, project, or work;
remove, alter, or obscure any copyright, trademark, or other proprietary notices in or on the Software;
use the Software or any Pack for any commercial purpose, including public display for commercial advantage, without our prior written permission; or
use the Software or any Pack in any unlawful manner or in breach of any applicable law.

These restrictions apply equally to Free Packs and Premium Packs. Free Packs are licensed to you free of charge but are NOT placed in the public domain and remain the property of SamuelWize.

5. Ownership and Intellectual Property

5.1 The Software and all Packs, and all intellectual property rights in them (including copyright in all code, pixel art, animation, music, audio, text, and design, and all trademarks, including "SamuelWize"), are and remain the sole property of SamuelWize and/or its licensors.

5.2 This Agreement does not grant you any rights to SamuelWize's trademarks, trade names, or branding.

5.3 All rights not expressly granted in this Agreement are reserved.

6. Updates

6.1 We may provide updates, bug fixes, or new Packs from time to time. Such updates are governed by this Agreement unless accompanied by separate terms.

6.2 We are under no obligation to provide updates or to continue to make any particular Pack available.

7. Termination

7.1 This Agreement is effective until terminated.

7.2 Your license terminates automatically, without notice, if you breach any term of this Agreement.

7.3 We may terminate or suspend your license if you misuse the Software, License Keys, or Packs.

7.4 On termination you must stop using and delete all copies of the Software and all Packs in your possession or control. Sections 4, 5, 8, 9, and 11 survive termination.

8. Disclaimer of Warranties

8.1 The Software and Packs are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

8.2 We do not warrant that the Software will be uninterrupted, error-free, or compatible with your hardware or other software.

8.3 Nothing in this Agreement excludes or limits any rights you have as a consumer that cannot be excluded or limited under applicable law.

9. Limitation of Liability

9.1 To the fullest extent permitted by law, SamuelWize will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to the Software or this Agreement.

9.2 To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Software or this Agreement will not exceed the amount you paid for the relevant Pack (if any) in the 12 months before the event giving rise to the liability.

9.3 Nothing in this Agreement limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

10. Payments and Refunds

10.1 Purchases of Premium Packs are processed by the Reseller Platform, which acts as merchant of record and handles payment, tax, and receipts.

10.2 Because Packs are digital goods delivered immediately, refunds are handled in accordance with the Reseller Platform's refund policy and your statutory rights. Contact us if you have a problem with a purchase.

11. Governing Law and Jurisdiction

11.1 This Agreement and any dispute arising out of or in connection with it are governed by the laws of England and Wales.

11.2 The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also be entitled to bring proceedings in the courts of the part of the UK in which you live.

12. Changes to this Agreement

12.1 We may update this Agreement from time to time. The version that applies is the one in force when you download or use the relevant version of the Software. Continued use after an update constitutes acceptance.
